Any references herein to Moodelier LLC, www.moodelier.com, “Company,” “we,” “our,” or “us” shall be deemed to refer to thePlatform and/or Moodelier LLC, as applicable under the circumstances.Note to social media users. When purchasing Products or Services from the Website, or social media pages, and when posting information to or otherwise communicating via that page or your own social media page, your activities online are subject to the Terms, any user’s agreement, or other terms imposed by that social media website, which may contain terms and conditions different from these Terms and Conditions.All references in these Terms to “Moodelier LLC”, “www.moodelier.com,” and/or “theWebsite” shall be deemed to include both the Website and any and all social media pages maintained from time to time by Moodelier LLC or its affiliates.1. OUR PRODUCTS AND SERVICES; TERMS OF SALE.(a) Our Products And Services.Company offers Products and Services including digital course(s) and physical pieces that creators can use to enhance their brand visuals through the Platform and through social media pages maintained by Company.(b) Payment.All amounts due for purchases on the Platform are payable in full at the time of purchase as set out on the Platform, invoice, or an order form.
(c) Your Account.When you make a purchase from this Website, you may be able to create an account as part of the checkout process. You are responsible for maintaining the confidentiality of your password and restricting access to your password and account. You further agree to accept responsibility for all purchases and activities that occur under your account.
(d) Acceptance of Order.Your placement of an order does not necessarily assure that we will accept your order. We reserve the right to refuse any order in our sole discretion. In addition, before accepting your order, we may require additional information to complete your order. In the event you pay for Products and Services using your Payment Method and subsequently “charge back”your purchase through your merchant account provider, Company reserves the right to terminate these Terms and all pending orders and transactions immediately, in addition to any and all available remedies at law or in equity. Unnecessary chargebacks are theft and can be prosecuted. If you feel that your Payment Method was used fraudulently, please contact us for immediate resolution. YOU AGREE THAT YOU WILL NOT CHARGE BACK ANY AMOUNTS CHARGED TO YOUR CREDIT OR DEBIT CARDOR PAYPAL ACCOUNT ON THIS WEBSITE. IF YOU CHARGEBACK A CREDIT OR DEBIT CARD OR PAYPAL CHARGE FOR A PAYMENT INITIATED BY YOU, YOU AGREE THAT THIS WEBSITE MAY RECOVER THE AMOUNT OF THE CHARGE BACK, IN ADDITION TO ANY AMOUNT CHARGED US BYTHE CREDIT OR DEBIT CARD COMPANY OR PAYPAL FOR SUCH CHARGE BACK, BY ANY MEANS DEEMED NECESSARY, INCLUDING BUT NOT LIMITED TO RECHARGING YOUR CREDIT OR DEBIT CARD OR PAYPAL ACCOUNT OR HAVING THE AMOUNT RECOVERED BY A COLLECTION AGENCY.
(h) If you order a Product, we will inform you of when you should expect your Product at time of purchase as shipping times can vary based on the Product purchased and its availability.All shipping times are estimates. All shipping charges are your responsibility, unless waived by Company. Shipping charges will be included on your invoice, order form, or the Platform, and can be viewed prior to finalizing your order. The shipping charge shown during the checkout process is subject to verification. Shipping charges are subject to change without notice. Any import fees, taxes, or duties not included in your invoice, order form, or on the Platform, are your additional responsibility. All orders are shipped FOB shipping point. Title to Products passes fromCompany to you upon shipment and we are not responsible for any shipping delays or problems once the Product has been shipped.(i) Back Orders.If for some reason an item on your order is temporarily out of stock, we will backorder that item for you and ship the other merchandise immediately. Items on back order will be charged when the items are actually shipped, along with applicable taxes and shipping charges.
(j) Returns, Exchanges, And Refund Policy.Except for errors as stated below, all sales are FINAL due to the nature of the Products and Services.
